These Terms of Use ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and KOL DEALS LTD ("Company," "we," "us," or "our"), governing your access to and use of the Trade Account Checkout application ("the App") available through the Shopify App Store.
By installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the App.
Trade Account Checkout is a Shopify Plus checkout extension that allows merchants to add a configurable trade account payment option to their Shopify Plus checkout. The App enables customers to enter a trade account number, cooperative membership number, or purchase order number at checkout. The entered account number is stored as an order metafield within the merchant's Shopify store for subsequent manual invoicing by the merchant.
The App does not process payments, verify trade account numbers, or handle any financial transactions. It is a data capture tool only. The merchant is solely responsible for verifying trade account numbers and processing invoices through their own systems.

The App is installed through the Shopify App Store using Shopify's standard OAuth authentication process. You are responsible for maintaining the security of your Shopify account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account.
The App offers the following pricing tiers:
All fees are billed through Shopify's billing API in US Dollars (USD). Recurring charges are billed every 30 days from the date of installation. You authorize Shopify to charge the applicable fees to your Shopify account in accordance with Shopify's billing terms.
We reserve the right to modify pricing with 30 days' prior notice. Continued use of the App after a pricing change constitutes acceptance of the new pricing.
You agree to use the App only for its intended purpose and in compliance with these Terms. You must not:
The App, including all code, design, features, documentation, and related materials, is the exclusive property of KOL DEALS LTD and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the App. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely in connection with your Shopify Plus store, subject to these Terms.

Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the practices described in the Privacy Policy.
You acknowledge that trade account numbers entered by customers are stored as order metafields within your Shopify store and are subject to your own data handling and privacy obligations.
The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

To the maximum extent permitted by applicable law, KOL DEALS LTD, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the App, regardless of the theory of liability.
Our total aggregate liability for any claims arising out of or related to these Terms or the App shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless KOL DEALS LTD, its directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
You may terminate these Terms at any time by uninstalling the App from your Shopify store. We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice, including but not limited to cases where:
Upon termination, your right to use the App ceases immediately. Sections 7, 10, 11, 12, 15, and 16 shall survive termination.
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by providing notice through your Shopify admin or via email. Your continued use of the App after any modifications constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of the Republic of Cyprus.
